Terms of Service

These Terms govern your IDEAgentHub account and your use of the service. For the license terms that govern the software binary itself, see the End User License Agreement.
1. Acceptance
These Terms of Service (the “Terms”) form a binding agreement between you (“you”) and IDEAgentHub (“we”, “us”, “our”). By creating an account, starting a free trial, or purchasing a paid plan you agree to these Terms. If you do not agree, do not create an account or use the service.
The service is offered to individuals aged 16 or older. If you are using IDEAgentHub on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
2. The service
IDEAgentHub is a Windows desktop application that embeds third-party AI IDEs (currently Cursor, Antigravity, Claude Code, Codex, and VS Code (Copilot)) into a tabbed container, records AI turns, exchanges context across agents, and provides workspace snapshot / restore tooling. The supported IDE set may evolve over time.
We provide the service on a best-effort basis. We do not currently offer a contractual uptime SLA, though we monitor and resolve outages of our license API and download CDN as quickly as practical. The desktop application continues to function for the duration of its offline grace period (currently 14 days) if our servers are unreachable.
3. Accounts and credentials
Your IDEAgentHub account is identified by the email address you used at trial signup or paid checkout. Sign-in to the account portal pairs that email with your license key. You are responsible for keeping both private and for everything that happens under your account.
If you suspect your license key has been compromised, email support@ideagenthub.com immediately. We will revoke the key and issue a replacement after verifying ownership.
4. Free trial
Trial use is subject to these conditions:
- The trial period is 14 days from key issuance and ends automatically.
- One trial per device. Hardware fingerprints we record at activation prevent the same machine from claiming a second trial under a different email. Reasonable hardware swaps (motherboard replacement, new laptop) are not penalised.
- Trial licenses are non-transferable, non-resellable, and may be revoked if we reasonably believe they are being abused (automation, multi-account farming, etc.).
- Trials do not auto-roll into a paid plan. No charge is ever made for a trial.
5. Subscriptions, billing, and renewal
Paid plans (Monthly, Yearly, Lifetime) are processed by Polar as Merchant of Record. Polar handles the payment, tax calculation, invoicing, and any required regulatory filings (VAT, sales tax). Their terms apply to the transaction itself; ours apply to the service you receive.
- Monthly / Yearly: subscriptions renew automatically at the cadence you selected at checkout until you cancel. The price in effect at renewal is the price disclosed at checkout for the next cycle.
- Lifetime: a one-time payment covers the lifetime of the IDEAgentHub product line. We are not obliged to deliver new versions in perpetuity, but you keep access to every version we publish for as long as we operate the license servers.
- Failed renewals: if a recurring charge fails, your license enters a grace period during which you can update billing. After the grace period expires without successful payment the license downgrades to read-only mode (existing tabs viewable, no new IDE spawn).
You can manage payment methods, view invoices, and cancel from the Polar customer portal accessible inside your /account page.
6. Refunds
We offer a 14-day money-back guarantee on all paid plans, no questions asked. Email support@ideagenthub.com with your order ID; the refund is processed by Polar and normally settles to the original payment method within 5 business days.
After the 14-day window we no longer guarantee a refund, but we do consider exceptional circumstances on a case-by-case basis.
7. Acceptable use
You agree not to use the service to:
- Violate any applicable law, regulation, or third-party right.
- Resell, sub-license, or otherwise transfer your license key without our written permission.
- Reverse-engineer our license-enforcement mechanisms, spoof hardware fingerprints, or share an account across multiple users to circumvent the per-device limit.
- Use the service in a way that materially degrades it for other users (automated scraping of our APIs at abusive rates, distributed denial of service, etc.).
- Use the service to host, distribute, or process content that is unlawful in your jurisdiction.
Violations may lead to suspension or termination per Section 11.
8. Your data
IDEAgentHub is a local-first product. Your code, prompts, AI conversations, snapshots, and IDE state never leave your machine. What we hold on our servers is limited to the information needed to operate the service:
- Your email address, hashed license key, hardware fingerprint, and activation history.
- Subscription state mirrored from Polar (plan, status, expiry).
- Operational audit logs of activation, validation, and revoke events.
The full data flow + retention is documented in our Privacy Policy. You retain all ownership rights over the content you keep on your own machine.
9. Intellectual property
The IDEAgentHub software, brand, website, and underlying technology are our intellectual property (or our licensors'), protected by Vietnamese and international copyright, trademark, and trade-secret law. These Terms grant you no rights in any of those assets other than the limited license to use the service.
Third-party IDEs that the service embeds (Cursor, Antigravity, Claude Code, Codex, VS Code (Copilot)) remain the property of their respective owners. IDEAgentHub does not claim affiliation with or endorsement from any of them.
10. Third-party services
The service integrates with third-party providers (Polar for payments, Cloudflare for our edge infrastructure, Resend for transactional email). Those providers process limited personal data on our behalf as documented in the Privacy Policy. We are not responsible for the third-party services themselves — outages, policy changes, or feature removals on their side may affect the service.
11. Suspension and termination
We may suspend or terminate your account immediately, without refund, if you materially breach these Terms (for example: license circumvention, resale, repeated abusive conduct). For non-material breaches we will normally contact you with a chance to cure first.
You may terminate at any time by cancelling your subscription and uninstalling the software. Trial-only accounts may be deleted on request by emailing support.
Sections that by their nature should survive termination (IP, disclaimer, liability cap, dispute resolution, governing law) survive.
12. Warranty disclaimer
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. THE WORKSPACE SNAPSHOT, AI-TURN RESTORE, AND CROSS-IDE CONTINUITY FEATURES ARE BEST-EFFORT SAFETY NETS — THEY ARE NOT A REPLACEMENT FOR YOUR OWN VERSION CONTROL DISCIPLINE.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL IDEAGENTHUB, ITS OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE — EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY UNDER THESE TERMS IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIFTY US DOLLARS (US $50).
14. Indemnification
You agree to indemnify and hold IDEAgentHub harmless from any claim, demand, loss, or damage (including reasonable legal fees) arising out of (a) your breach of these Terms, (b) your violation of applicable law, or (c) your violation of any third-party right through your use of the service.
15. Changes to these Terms
We may update these Terms from time to time. For material changes — anything that affects billing, dispute resolution, your rights, or our liability — we will:
- Email existing customers a diff at least 30 days before the change takes effect.
- Post the new version here with the updated Last updated date.
- Continue honouring the previous version until the effective date, so you have time to review and (if you disagree) cancel before the new terms apply.
Continued use after the effective date constitutes acceptance of the new Terms.
16. Governing law and disputes
These Terms are governed by the laws of the Socialist Republic of Vietnam, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Any dispute arising out of or relating to these Terms or the service will be resolved exclusively in the courts of Ho Chi Minh City, Vietnam, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property rights.
17. Miscellaneous
- Entire agreement. These Terms, the EULA, and the Privacy Policy together form the entire agreement between you and us regarding the service.
- Severability. If any provision is found unenforceable, the rest remain in effect.
- No waiver. Our failure to enforce a provision does not waive our right to enforce it later.
- Assignment. You may not assign these Terms without our consent. We may assign them to an affiliate or in connection with a merger or acquisition.
- Force majeure. Neither party is liable for delay or failure caused by events beyond reasonable control (natural disaster, war, regulatory action, large-scale infrastructure outages).
