End User License Agreement

This End User License Agreement (the “Agreement”) is between you (“you”) and IDEAgentHub (“we”, “us”) and governs your use of the IDEAgentHub desktop application (the “Software”). By installing or using the Software you accept these terms. If you do not accept them, do not install the Software.

Subject to your compliance with this Agreement and continued payment (where applicable), we grant you a personal, non-exclusive, non-transferable, revocable license to:

• Install and run the Software on Windows 10 or 11.
• Activate the Software on one device at a time per license key. You can move the license to a new device by revoking the old one from /account.
• Use the Software for personal or commercial purposes within your organisation, subject to the plan tier you purchased.

You will not:

• Reverse engineer, decompile, or disassemble the Software, except to the extent applicable law permits despite this restriction.
• Modify, distribute, sublicense, or resell the Software or your license key.
• Use the Software to host a service that competes with IDEAgentHub.
• Circumvent or attempt to circumvent the license-enforcement mechanisms (hardware binding, server-signed validation, etc.).
• Use the Software in a way that violates the EULAs of the third-party IDEs (Cursor, Antigravity, Claude Code, Codex, VS Code (Copilot)) that you choose to embed in IDEAgentHub.

Trial licenses are time-limited (14 days by default) and non-transferable. We may revoke a trial license at any time if we reasonably believe it is being abused (multiple trials per person, automation, etc.). Trial use does not roll over into a paid plan automatically — you must purchase a paid tier to continue after the trial ends.

Paid subscriptions are processed by Polar acting as Merchant of Record. Their terms apply to the transaction itself. By purchasing you authorise recurring charges at the cadence shown at checkout until you cancel. You can cancel any time from the Polar customer portal we link from /account; cancellation takes effect at the end of the current billing period.

We offer a 14-day money-back guarantee on all paid plans. See the refund policy for the request process. Refunds for Lifetime purchases are issued only if requested within the 14-day window.

The Software ships with auto-update (via WinGet or our own Velopack channel). By installing you consent to receiving and applying these updates. Updates may include security fixes, feature additions, and (rarely) breaking changes; we announce material breaking changes in the changelog before the affected release ships.

We may suspend or terminate your license if you materially breach this Agreement (e.g. circumvent the license- enforcement mechanisms or attempt to resell your key). You may terminate at any time by cancelling your subscription and uninstalling the Software. On termination the restrictions in Section 3 survive.

THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AGENTHUB'S RECONSTRUCTION AND RESTORE FEATURES ARE BEST-EFFORT SAFETY NETS; THEY ARE NOT A SUBSTITUTE FOR YOUR OWN VERSION CONTROL DISCIPLINE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL IDEAGENTHUB BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE SOFTWARE. OUR TOTAL LIABILITY UNDER THIS AGREEMENT IS LIMITED TO THE AMOUNTS YOU PAID US FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

This Agreement is governed by the laws of the Socialist Republic of Vietnam, without regard to its conflict-of-laws rules. Any dispute will be resolved exclusively in the courts of Ho Chi Minh City.

We may update this Agreement from time to time. We will email existing licensees a diff at least 30 days before material changes take effect. Your continued use after the effective date constitutes acceptance.
